These terms govern the use of SmartDepot and its free and paid digital services.

1. Provider and contact
The contracting provider is Alf Müller Informatik, Dorfstrasse 2, 4556 Steinhof SO, Switzerland. Contact: support@smartdepot.org.

2. Scope
These terms apply to private and business users of SmartDepot. A customer's differing terms apply only if SmartDepot expressly accepts them in text form.
A consumer is a natural person concluding the contract mainly for private purposes. Mandatory consumer rights in the country of the consumer's habitual residence remain unaffected.
3. Registration and contract conclusion
Entries can be reviewed and corrected before submission. By selecting 'Create account', the user offers to enter into the free usage contract. The contract is concluded upon electronic confirmation and account activation.
Paid services are displayed with the product, total price, billing period and renewal terms before an order carrying a payment obligation is placed. Entries can be corrected until confirmation in Stripe Checkout. The paid contract is concluded upon payment confirmation or activation by SmartDepot. Electronic confirmation is provided.
The version of these terms shown with the order forms part of the contract. SmartDepot records the version, time, account, workspace and order subject of the acceptance.
4. Service
SmartDepot is web-based inventory software. The exact scope follows the plan description shown when the contract is concluded. Free, Pro and Team features and usage limits may differ.
Photo and AI functions provide suggestions and do not replace human review. Inventory-affecting results require user confirmation. SmartDepot is not statutory accounting, a safety inspection service or a complete enterprise resource planning system.
Use requires a current internet-capable device and supported browser. Stripe, operating systems, browsers, printers and third-party integrations may impose additional requirements.
5. Accounts, workspaces and authority
Credentials must be kept confidential. Users must provide correct contact details and promptly notify SmartDepot of suspected misuse.
Workspace owners act for their workspace, manage roles and may order paid services. Anyone ordering for an organisation confirms that they are authorised to represent it.
Minors may enter paid contracts only with any consent required from their legal representative.
6. Prices and payment
The total price in Swiss francs displayed immediately before the order in SmartDepot and Stripe Checkout is decisive. Where legally due, applicable taxes are included in that total or separately disclosed before ordering.
Stripe processes payments. Available payment methods are shown in checkout. SmartDepot does not store complete card or wallet credentials.
If a payment fails or is reversed, activation may be withheld or paid access restricted after reasonable notice.
7. Subscriptions, renewal and cancellation
Monthly subscriptions renew for one month and annual subscriptions for one year until cancelled. The price and renewal interval are clearly displayed before ordering.
Subscriptions can be cancelled at any time through the billing portal. Cancellation completed before the next renewal time displayed there prevents that renewal; no additional minimum notice period applies. Paid access remains available until the end of the paid period. Cancellation does not automatically delete the account or its data.
Price changes for future renewals are communicated in good time. Where consent is legally required, silence alone does not make the change effective.
8. Team seats and Vision credits
Additional Team seats are charged at the amount shown before ordering; a pro-rated charge may apply during a current period. The future renewal price is shown before ordering.
Separately purchased Vision credits generally do not expire. One credit is used for one successfully processed photo recognition. For refunds of partly used packages, the value of used credits may be deducted where mandatory law permits.
9. Right of withdrawal
SmartDepot grants consumers, irrespective of residence, the right to withdraw from a paid contract concluded online within 14 days after conclusion without giving a reason. A clear statement must be sent in time to support@smartdepot.org or the postal address above.
Where the consumer expressly requests performance before the withdrawal period ends and later withdraws, only the proportionate value supplied up to withdrawal is payable. Merely starting to use an ongoing digital service does not automatically remove the right of withdrawal.
SmartDepot refunds amounts due within 14 days after receiving the withdrawal, generally using the same payment method. Statutory exceptions and any additional mandatory rights remain unaffected.
10. Downgrade, recovery and data
After a paid plan ends, the workspace moves to Free if it meets the limits. If limits are exceeded, the transition and recovery rules described before ordering apply. They are intended to permit export, stock removal and an orderly reduction without forcing another paid renewal.
Users retain their rights in submitted data. They can use the available exports and request account deletion. Statutory retention, backups and required evidence remain reserved; details are in the privacy notice.
11. Availability, maintenance and changes
SmartDepot aims to provide a reliable service but does not promise uninterrupted availability unless a service level is expressly agreed. Maintenance, security measures and events outside reasonable control may cause interruptions.
Features may be developed for objective reasons. Material detrimental changes to a main paid feature are notified in advance; mandatory rights to remedies, price reduction or termination remain unaffected.
12. Acceptable use and suspension
Illegal content, attacks, bypassing access controls, malware, abusive automation and use that endangers systems or third-party rights are prohibited.
For a material breach or concrete security risk, SmartDepot may proportionately restrict the affected access. Where reasonable, notice and an opportunity to remedy are provided first. Statutory rights and available data exports remain unaffected.
13. Software and content rights
SmartDepot and its components are protected. For the contract term, the user receives a non-exclusive, non-transferable right to use the service as agreed.
Users retain their rights in their data and content. They grant SmartDepot only the rights needed to provide, secure, transmit and process the service as agreed.
14. Warranty and liability
Mandatory statutory warranty and liability rights apply. Liability for intent, gross negligence, death or personal injury and any other liability that cannot legally be limited is not excluded.
SmartDepot is not liable for damage caused without its fault exclusively by incorrect entries, unreviewed AI suggestions, unauthorised integrations or failures of third-party services. This does not limit mandatory consumer rights.
15. Changes to these terms
Material changes are notified in text form with reasonable advance notice. Where a change is not already covered by law or an objectively necessary and reasonable adjustment, SmartDepot obtains any required consent.
A change may not create an unfair contractual imbalance against consumers. Each order is governed by the version recorded when it was placed.
16. Term and account termination
The free usage contract is indefinite and can be ended by the user at any time by requesting deletion. SmartDepot may terminate it with reasonable notice; termination for cause remains possible.
Before ordinary termination initiated by SmartDepot, a reasonable export opportunity is provided unless security, abuse or legal reasons prevent it.
17. Law and jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods. This choice does not deprive consumers of mandatory protection in their country of habitual residence.
Jurisdiction follows mandatory applicable law. Consumers may use the courts available to them by law at their place of residence.
18. Final provisions
If a provision is ineffective, the remaining provisions continue to apply. Mandatory law replaces the ineffective provision; no reduction preserving an unfair clause against consumers is intended.
